A sole proprietorship is a business run by a single owner who is not legally distinct from the business.
As she expanded her catering business and looked to secure financing for equipment, Sally decided that she could no longer continue as a sole proprietorship as it did not enable her to offer equity to investors.
Also known as a sole trader or a proprietorship, this constitutes a different form of business than do partnerships (which have multiple owners) and corporations (which are entities separate from their owners). People who do freelance or other independent work are automatically considered sole proprietors. The owner may hire employees and use contractors but always remains fully responsible for all of the business’s obligations (as opposed to a limited liability company). The business may operate under the name of the sole owner or may register a business name for this purpose.
