A privately held company is one that is not publicly traded on a stock exchange and typically has only a small number of shareholders.

In British usage, the terms “close company” and “closed company” are synonyms. A privately held company may once have been publicly traded but then was taken private, or it may have been nonpublic all through its existence. Such arrangement may be beneficial for the business, inasmuch as publicly traded companies are subject to strict regulations and reporting obligations. This concept should not be confused with privately owned enterprise, which term is used to distinguish a company owned by private shareholders from one that is a state-owned enterprise.
