Definition

Power of attorney refers to both a legal document authorizing a designated person to act on behalf of someone else as well as the given authority itself.

Because serious health issues prevented Mr. Blue from attending a meeting at the bank to discuss his loan, he authorized his son, Bob, through power of attorney to represent him in the matter.

Comment

The person who grants the power of attorney is called the principal or grantor, and the person who is authorized to represent someone on the basis of the document is called the agent or attorney-in-fact. Either party may be a natural person or a legal entity. A durable power of attorney can authorize the agent to act in all or nearly all of the principal’s legal matters. A power of attorney may also be granted only for a specific period of time or for a specific act. Upon expiration of such period of validity or performance of such act, the power of attorney ceases to exist and the agent is no longer authorized to represent the grantor. A power of attorney may also be revoked by the principal. The document must contain a proper identification of the principal and the agent, a precise description of matters to which the power of attorney relates and/or of its duration, the date of signing, the signatures of both parties and, if required under specific law or circumstances, of a witness. Some jurisdictions require powers of attorney to be notarized.

Poznámka

Osoba, která plnou moc uděluje, se nazývá zmocnitel, a osoba, která je na základě dokumentu oprávněná někoho zastupovat, se nazývá zmocněnec nebo také disponent. Na každé straně může stát jak fyzická, tak právnická osoba. Generální plná moc může oprávnit zmocněnce k jednání ve všech či téměř všech právních úkonech zmocnitele. Lze udělit i plnou moc pouze na určitou dobu nebo k určitému úkonu. Po uplynutí doby platnosti nebo provedení úkonu planá moc zaniká a zmocněnec není dále oprávněn zastoupení vykonávat. Plnou moc může odvolat také zmocnitel. Dokument musí obsahovat řádnou identifikaci zmocnitele a zmocněnce, přesný popis záležitostí, kterých se plná moc týká, a/nebo dobu jejího trvání, datum podpisu, podpisy obou stran, a pokud to zvláštní zákon nebo okolnosti vyžadují, i podpisy svědků. Některé jurisdikce vyžadují, aby plná moc byla úředně ověřena.
