Earnest money is an advance payment provided by one contracting party to the other before a contract is concluded.
After several transactions fell through, the real estate brokerage was left holding a significant amount of earnest money it could not touch until the relevant litigations were resolved.
Earnest money is a form of deposit through which the payer expresses his or her earnest will to honor a contract. The amount is usually held in an escrow account. In case the payer withdraws from the deal, the other party may get to keep the money depending on the circumstances and the jurisdiction. In accordance with Czech law, when the other party withdraws from a contract, it must pay double the amount of earnest money. Earnest money is commonly used in real estate transactions.

Poté, co selhalo několik transakcí, zůstala realitní makléřské firmě značná částka ze závdavků, kterou ale nesměl použít, dokud nebudou ukončeny příslušné soudní spory.
Závdavek je forma zálohy, prostřednictvím které plátce vyjadřuje svou upřímnou vůli dodržet smlouvu. Částka je obvykle držena na účelově vázaném účtu. V případě, že plátce od dohody odstoupí, tak si druhá strana může peníze nechat, v závislosti na okolnostech a jurisdikci. Podle českého práva, když od smlouvy odstoupí druhá strana, musí zaplatit dvojnásobek závdavku. Závdavky se běžně využívají v realitních transakcích.
