Definition

A closely held company is one that is owned by a relatively small number of shareholders.

Comment

Although such companies frequently are listed on public stock exchanges, their shares would not be very actively traded. These may be family businesses, companies owned by private equity funds, or companies that had gone through a management buyout. The important aspect is that a small group of shareholders (or even a single shareholder) has effective control over such a company. This concept is also distinct from that of a privately held company, which is not listed on a stock exchange.

Poznámka

Ačkoli tyto společnosti, jsou obvykle kótované na burzách cenných papírů, jejich akcie nejsou příliš aktivně obchodovány. Může jít o rodinné podniky, společnosti vlastněné private equity fondy, nebo o společnosti, které prošly odkupem společnosti vedením podniku. Důležitým aspektem je, že společnost v zásadě ovládá malá skupina akcionářů (nebo i jen jediný akcionář). Tento koncept je odlišný od soukromé společnosti, což je společnost nekótovaná na burze cenných papírů.
