Bylaws are rules set by an organization regulating its operations and management.
As part of a proxy fight over control of the company, ACME’s Board of Directors approved an amendment to its bylaws making it easier for shareholders to nominate members of the board.
Also spelled byelaws and by-laws, such rules govern such aspects of a company as the method for selecting officers, what their duties are, how meetings should be run, and how the company would be dissolved. In English-speaking countries outside the US, the term bylaws is applied to regulations made by municipalities as these are regulated by the central government. In such jurisdictions, the bylaws are referred to as Articles of Association. Together with the company’s Memorandum of Association or Articles of Incorporation/Organization (and sometimes within a single document), the Articles of Association/bylaws make up the company’s constitution or charter.

Tato pravidla řídí takové rysy společnosti jako způsob výběru úředníků, jaké jsou jejich povinnosti, způsob vedení porad a likvidace společnosti. V anglofonních zemích mimo USA termín „bylaws“ označuje podzákonné předpisy, tj. regulace stanovené obcí, protože jsou řízeny centrální vládou. V těchto jurisdikcích se stanovy označují jako Articles of Association. Spolu se společenskou smlouvou nebo zakladatelskou listinou (a někdy v rámci jednoho společného dokumentu) stanovy tvoří základní dokumentaci společnosti.
