Comment

NDAs are most commonly concluded between employer and employee in order to protect the employer’s trade secrets. They are also used between suppliers and customers, partners in a joint venture, and in other situations where it is necessary to share critical information while also preventing it from being leaked to third parties. Another way for companies to protect their information from being exploited by competitors is by including noncompete clauses in employment contracts.

I v češtině se používá zkratka NDA. Tyto dohody nejčastěji uzavírá zaměstnavatel a zaměstnanec pro ochranu obchodních tajemství zaměstnavatele. Jsou také používány mezi dodavateli a odběrateli, partnery ve společném podniku a v dalších situacích, kde je nezbytné sdílet zásadní informace a zároveň zabránit v jejich šíření třetím stranám. Jedním z dalších způsobů, jak společnosti ochraňují své informace před jejich zneužitím konkurencí, je vložení konkurenčních doložek do zaměstnaneckých smluv.
